Terms of Service

Welcome to PackageSave. These Terms of Service ("Terms") govern your access to and use of the PackageSave platform, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using PackageSave, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Services
PackageSave provides a shipping management platform that enables users to:
- Create and purchase shipping labels through carrier integrations (including UPS)
- Manage shipping addresses and customer information
- Track shipments and delivery status
- Access discounted shipping rates
- Schedule carrier pickups
- Generate customs documentation for international shipments
- Integrate with e-commerce platforms (such as Shopify)
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. The Services are intended for business use only.
3.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials.
3.3 Account Security
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use or security breach.
4. Service Pricing and Payment
4.1 Shipping Costs
You are responsible for all shipping costs, including postage, carrier fees, surcharges, duties, taxes, and any other fees associated with your shipments. Rates displayed at the time of label purchase are estimates based on the information you provide. Final charges may vary based on actual package dimensions, weight, carrier verification, and other factors described in Section 4.5.
4.2 Payment
Payment is required at the time of label purchase. We accept credit cards, debit cards, and other payment methods as displayed in the Services. You authorize us to charge your payment method for all fees incurred, including post-shipment carrier adjustments as described in Section 4.5.
4.3 Billing
Shipping charges are consolidated and billed on a weekly cycle. You agree to maintain valid payment information at all times. Your payment method on file will be charged for all label costs, surcharges, and carrier adjustments, whether incurred at the time of purchase or applied after shipment.
4.4 Refunds
Unused shipping labels may be voided within the timeframe permitted by the applicable carrier, provided the package has not yet been scanned or entered the carrier's network. Refunds are processed according to carrier policies and may take 5-10 business days to appear on your account.
4.5 Carrier Adjustments and Post-Shipment Charges
You acknowledge and agree that shipping carriers (including UPS) may assess additional charges after a shipment has been tendered to the carrier. You are fully responsible for all such charges, and you authorize PackageSave to automatically bill these charges to your payment method on file or add them to your next billing cycle without further notice or approval.
Carrier adjustments may occur for reasons including, but not limited to:
- Weight discrepancies: The actual weight of the package (as measured by the carrier) exceeds the weight entered when the label was purchased.
- Dimensional weight (DIM weight) adjustments: The carrier determines that the package dimensions result in a higher billable weight than what was declared.
- Incorrect package dimensions: The actual length, width, or height of the package differs from the dimensions entered at the time of purchase.
- Address corrections: The carrier corrects an invalid, incomplete, or undeliverable address to complete delivery.
- Residential surcharges: The carrier determines the delivery address is residential rather than commercial, resulting in additional fees.
- Additional handling surcharges: The package requires special handling due to its size, weight, shape, or packaging (e.g., non-standard packaging, items exceeding standard size thresholds, packages not fully enclosed in a corrugated container).
- Extended area / remote delivery surcharges: The delivery or pickup address is in an area the carrier classifies as extended, remote, or hard-to-reach.
- Return to sender / undeliverable charges: The carrier returns a package to the sender because it is undeliverable, refused by the recipient, or the address is incorrect. You are responsible for both the original shipping cost and the return shipping cost.
- Fuel surcharges: Adjustments to fuel surcharge percentages that differ from the rate at the time of label purchase.
- Large package surcharges: The package exceeds the carrier's standard size limits, triggering oversize fees.
- Unauthorized / prohibited item fees: The carrier assesses penalties for shipping restricted items or items not properly declared.
- Duty and tax adjustments: For international shipments, additional customs duties, taxes, or brokerage fees not captured at the time of label purchase.
- Peak season surcharges: Temporary surcharges applied by the carrier during high-volume shipping periods.
- Any other fees, surcharges, or penalties assessed by the carrier in accordance with that carrier's then-current published tariff, service guide, or rate schedule.
Timing: Carrier adjustments may be applied days or weeks after the original shipment. You agree that the passage of time between a shipment and a carrier adjustment does not relieve you of responsibility for payment.
Automatic billing: You expressly authorize PackageSave to charge your payment method on file for any carrier adjustments without requiring additional consent for each adjustment. If your payment method is declined, you agree to pay the outstanding balance within seven (7) days of notification.
Accuracy is your responsibility: The most effective way to avoid carrier adjustments is to provide accurate package weight, dimensions, and recipient address information when creating each shipment. PackageSave provides these measurements as input fields for your convenience but does not independently verify them prior to label purchase. You bear sole responsibility for the accuracy of all shipment information.
Disputes: If you believe a carrier adjustment was applied in error, you may contact PackageSave support to request a review. PackageSave will assist in filing a dispute with the carrier on your behalf where applicable. However, the carrier's determination on disputes is final and binding. PackageSave is not liable for carrier adjustments regardless of the dispute outcome.
5. Shipping and Carrier Terms
5.1 Carrier Relationships
PackageSave acts as an intermediary between you and shipping carriers. All shipments are subject to the terms, conditions, and service guides of the applicable carrier (including UPS). In the event of a conflict between these Terms and a carrier's terms, the carrier's terms shall govern with respect to the handling and delivery of shipments.
5.2 Prohibited Items
You agree not to ship items that are prohibited by law, carrier policies, or these Terms. Prohibited items include but are not limited to:
- Illegal substances and controlled drugs
- Weapons, firearms, and ammunition
- Hazardous materials (unless properly declared and packaged)
- Counterfeit goods
- Stolen property
- Live animals (unless specifically authorized)
- Currency and negotiable instruments
5.3 Packaging Requirements
You are responsible for properly packaging all shipments according to carrier requirements. PackageSave is not liable for damage resulting from inadequate packaging. Improperly packaged shipments may incur additional handling surcharges from the carrier as described in Section 4.5.
5.4 Customs and International Shipping
For international shipments, you are responsible for:
- Accurate customs declarations
- Compliance with import/export regulations
- Payment of duties, taxes, and customs fees
- Obtaining necessary permits and licenses
5.5 Landed Cost Estimates
PackageSave may provide estimated import duties, taxes, and brokerage fees ("Landed Cost Estimates") for international shipments. These estimates are provided for informational purposes only and are not guaranteed to be accurate. Actual duties, taxes, and brokerage fees are determined solely by the customs and border authorities of the destination country, along with the customs broker processing the shipment. Amounts assessed at the time of import may differ significantly from any estimate provided by PackageSave. PackageSave bears no responsibility for the accuracy of Landed Cost Estimates and shall not be liable for any difference between estimated and actual import charges. You acknowledge that the use of Landed Cost Estimates is at your own risk and does not create any obligation on the part of PackageSave to cover, reimburse, or offset actual duties, taxes, or brokerage fees.
5.6 Pickup Services
Scheduled pickups are subject to carrier availability and policies. PackageSave is not responsible for carrier delays or missed pickups.
6. User Responsibilities
6.1 Accurate Information
You agree to provide accurate shipping information including addresses, package dimensions, weights, and contents descriptions. Inaccurate information may result in delivery delays, carrier adjustments, additional charges, or carrier penalties, all of which are your financial responsibility as described in Section 4.5.
6.2 Compliance with Laws
You agree to comply with all applicable laws, regulations, and carrier policies when using the Services.
6.3 Prohibited Uses
You agree not to:
- Use the Services for any unlawful purpose
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Interfere with or disrupt the Services
- Attempt to gain unauthorized access to our systems
- Use the Services to transmit malware or harmful code
- Resell or redistribute the Services without authorization
7. Intellectual Property
7.1 PackageSave Property
All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by PackageSave and protected by intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these Terms.
7.3 Restrictions
You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code of our software.
8. Data and Privacy
8.1 Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
8.2 Data Sharing with Carriers
You acknowledge that we must share your shipping information with carriers to process shipments. This includes sender and recipient names, addresses, package contents, and contact information.
8.3 Data Retention
We retain shipping records as required by carrier agreements and applicable law.
9. Third-Party Integrations
9.1 E-commerce Platforms
If you connect third-party services (such as Shopify) to PackageSave, you authorize us to access and use data from those platforms as necessary to provide the Services.
9.2 Third-Party Terms
Your use of third-party integrations is subject to the terms and conditions of those third parties.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACKAGESAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
10.3 Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PACKAGESAVE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.4 Carrier Liability
Claims for lost, damaged, or delayed shipments are subject to the liability limits and claims procedures of the applicable carrier. PackageSave's liability does not exceed the carrier's liability limits.
11. Indemnification
You agree to indemnify, defend, and hold harmless PackageSave and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your shipments and shipping activities
- Carrier adjustments, surcharges, or penalties resulting from inaccurate shipment information you provided
12. Term and Termination
12.1 Term
These Terms remain in effect until terminated by either party.
12.2 Termination by You
You may terminate your account at any time by contacting support. You remain responsible for any charges incurred before termination, including any carrier adjustments that are applied after termination.
12.3 Termination by Us
We may suspend or terminate your account at any time for any reason, including violation of these Terms, with or without notice.
12.4 Effect of Termination
Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive, including but not limited to your obligation to pay any outstanding carrier adjustments and charges.
13. Dispute Resolution
13.1 Informal Resolution
Before filing any formal dispute, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
13.2 Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
13.3 Jurisdiction
Any disputes arising from these Terms shall be resolved in the courts located in Ontario, Canada.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by email. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PackageSave regarding the Services.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
15.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
